We are ClanIt Ltd ("Company", "we", "us", "our"), a private limited company registered in England and Wales (company number 17209874), with registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.
We operate the mobile application ClanIt, as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
You can contact us within the app or by post at the address above.
These Legal Terms constitute a legally binding agreement between you and ClanIt Ltd concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree, you must not use the Services.
We will notify you of any material changes to these Legal Terms via the app. Your continued use of the Services after changes take effect constitutes your acceptance of the revised terms.
1Our Services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
2Intellectual Property Rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, text, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties around the world.
The Content and Marks are provided in or through the Services "as is" for your personal, non-commercial use only. No part of the Services and no Content or Marks may be copied, reproduced, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. We reserve all rights not expressly granted to you. Any breach of these intellectual property rights will constitute a material breach of these Legal Terms and your right to use the Services will terminate immediately.
Your submissions
By sending us any question, comment, suggestion, idea, or feedback about the Services ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. We own the Submission and may use it without restriction for any lawful purpose, without acknowledgment or compensation to you.
3User Representations
By using the Services, you represent and warrant that: (1) you have a valid Apple ID and the legal capacity to agree to these Legal Terms; (2) you will not access the Services through automated or non-human means; (3) you will not use the Services for any illegal or unauthorised purpose; and (4) your use of the Services will not violate any applicable law or regulation.
4Prohibited Activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
- Circumvent, disable, or otherwise interfere with security-related features of the Services.
- Attempt to reverse-engineer, decompile, or circumvent the encryption or security mechanisms of the Service.
- Attempt to access any other user's account or data.
- Use automated tools, bots, scrapers, or scripts to access, probe, or stress-test the Service.
- Upload or transmit viruses, Trojan horses, ransomware, or any other malicious code.
- Disparage, tarnish, or otherwise harm us and the Services.
- Use any information obtained from the Services to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Attempt to impersonate another user or person.
- Interfere with, disrupt, or create an undue burden on the Services or networks connected to the Services.
- Copy or adapt the Services' software, including its source code.
- Use the Service in any country or jurisdiction subject to comprehensive sanctions by the United Kingdom, the United States, the European Union, or the United Nations.
- Use the Services as part of any effort to compete with us or for any revenue-generating commercial enterprise.
5User Generated Contributions
The Services do not offer users the ability to submit or post content publicly. All content you store within the Service is private, encrypted on your device, and not accessible to us or any other user except within the clan sharing model you control.
6Contribution Licence
By submitting suggestions or other feedback regarding the Services, you agree that we can use such feedback for any purpose without compensation to you. You retain full ownership of all content you store within the Services. By using the Services you grant us no licence over your encrypted content. Because your content is encrypted before it leaves your device, we have no ability to access, use, or process it.
7Services Management
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these Legal Terms; (3) refuse or restrict access to the Services at our discretion; and (4) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
Any monitoring is limited to Service operation and account-level activity. We cannot monitor or read your encrypted content.
8Term and Termination
These Legal Terms remain in force while you use the Services. We reserve the right to deny access to and use of the Services to any person at our sole discretion, including for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.
If we terminate or suspend your account for any reason, you are prohibited from registering a new account under your name, a fake name, or the name of any third party. We reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.
9Modifications and Interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time at our sole discretion. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors. We have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance.
10Governing Law
These Legal Terms shall be governed by and construed in accordance with the laws of England and Wales. ClanIt Ltd and yourself irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms. If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of Scotland or Northern Ireland respectively.
11Dispute Resolution
If you have a complaint about the Service, please contact us first, by post at the address in Section 25, or through in-app support if your plan includes it, so that we can attempt to resolve the matter informally. We will acknowledge your complaint within 5 business days and endeavour to resolve it within 30 days. If we are unable to resolve your complaint informally, either party may pursue their legal remedies through the courts of England and Wales.
12Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.
13Disclaimer
The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We assume no liability or responsibility for any errors, mistakes, or inaccuracies of content; any interruption or cessation of transmission to or from the Services; or any bugs, viruses, or Trojan horses transmitted to or through the Services by any third party.
14Limitations of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.
Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the lesser of: (a) the amount paid, if any, by you to us during the three-month period prior to any cause of action arising; or (b) GBP 10. Where you are on the free tier, option (a) is GBP 0 and the cap is therefore GBP 10.
Nothing in these Legal Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
15Indemnification
You agree to defend, indemnify, and hold us harmless, including our officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) your violation of the rights of a third party, including intellectual property rights; or (5) any harmful act toward any other user of the Services. We reserve the right, at your expense, to assume the exclusive defence of any matter for which you are required to indemnify us.
16User Data
ClanIt is a zero-knowledge service. All content you store within the Service is encrypted on your device before it leaves your device. We store only encrypted blobs that we have no ability to read or access. We do not perform backups of your encrypted content and cannot recover it on your behalf under any circumstances.
You are solely responsible for all data you store within the Service. We have no liability to you for any loss or corruption of your data, and you waive any right of action against us arising from any such loss or corruption, to the extent permitted by applicable law.
17Subscriptions, Billing, and Downgrades
ClanIt offers a free tier and paid subscription tiers. The tiers available and their prices are shown in the App Store and in the app before you subscribe. We may change pricing from time to time, and the price shown in the App Store at the time of purchase or renewal is the price that applies.
Paid tiers are sold through Apple as an auto-renewing in-app purchase and include a one-month free trial for new subscribers. Unless you cancel at least 24 hours before the trial ends, it converts automatically to a paid monthly subscription. Trial eligibility is determined by Apple.
Your subscription is billed and managed entirely by Apple. Payment is charged to your Apple account, and the subscription renews each month until you cancel. You can manage or cancel your subscription, and view your billing history, in your Apple account settings. Deleting the app does not cancel a subscription. Any billing, payment, refund, or renewal query is handled by Apple under the Apple Media Services Terms and Conditions.
Your subscription tier governs what you can do as a clan owner, including how many people you can share with, how many tiles you can hold, and how much attachment storage you have. It does not affect your access to clans owned by others.
If you downgrade your subscription to a lower tier and the content you store as a clan owner exceeds the allowances of the tier you move to, automated limit management applies. The consequences differ depending on whether you downgrade to the free tier or to a lower paid tier.
Where the content you own exceeds your new tier's limits, your non-primary clans are placed into a read-only state. You can still view your data, but you cannot add or update content in those clans until you bring your account within the new limits, either by removing content or by upgrading again. The read-only state lifts as soon as your account is within limits.
If your downgrade is to the free tier, a timed cooling-off window applies, and we send reminders as it approaches. If the window expires while your account is still over the free tier limits, our systems automatically reconcile your account to fit the free tier. This permanently deletes every tile item you own, together with its wrapped keys and any attached documents, deletes your non-primary clans, and removes all attachments from your notes.
If your downgrade is from one paid tier to a lower paid tier, the read-only state applies until you return within limits. No timed window and no automatic deletion apply on this path, and your content is not removed.
In all cases this process never removes your account, your Primary clan, your registered devices, the text of your notes, or your ability to export your data. You acknowledge and agree that, to the extent permitted by applicable law, we have no liability for any data permanently removed as a result of a downgrade you did not resolve within the cooling-off window.
18Electronic Communications
By using the Services, you consent to receive electronic communications from us delivered via the app. Because ClanIt does not collect your email address, all notices and communications from us to you are delivered through the app only. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
19Miscellaneous
These Legal Terms and any policies or operating rules posted by us constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
20Zero-Knowledge Architecture and Data Recovery
ClanIt is built on a zero-knowledge architecture. All content stored within the Service is encrypted on your device before it leaves your device. We have no technical ability to read, decrypt, or recover your content under any circumstances, including in response to your own request, a court order, or a law enforcement request. If you lose your memorable word and have no other trusted device, your encrypted data is permanently inaccessible. This is not a policy limitation but an architectural property of the Service.
21Accuracy of User Information and ICE Card
You are solely responsible for the accuracy, completeness, and currency of all information you store within ClanIt, including the information contained in your ICE Card. ClanIt stores and reproduces the information you enter. It does not create, modify, correct, verify, validate, interpret, or certify that information.
The Apple Wallet ICE Card is a user-initiated export of the information you have entered into ClanIt at the time of export. If you subsequently change the information stored within ClanIt, you are responsible for regenerating and replacing the Wallet pass so that it remains current. ClanIt does not maintain or update a pass once it has been created.
ClanIt is not a medical device and does not provide medical, healthcare, legal, or emergency advice. Any information displayed within the Service or exported to an Apple Wallet pass originates solely from the information you have entered.
You are solely responsible for periodically reviewing and maintaining the information stored within ClanIt to ensure that it remains accurate, complete, and suitable for its intended purpose, including emergency use. We make no representation or warranty that the information stored within the Service or exported to a Wallet pass is sufficient or suitable for any particular medical, legal, emergency, or other purpose.
22Service as Supplementary Storage
ClanIt is a convenient tool for storing and sharing personal information securely. It is not a primary records system, a backup service, or an archival platform. You should not rely on ClanIt as your sole copy of any critical document or information. We strongly recommend that you maintain master copies of all important documents through independent means. We are not liable for any loss or harm arising from your failure to do so.
23Infrastructure and Third-Party Services
The Service depends on third-party infrastructure including Microsoft Azure and Apple platform services. We are not liable for any loss of data or loss of access resulting from failures, outages, data corruption, cyber attacks, or any other event affecting third-party infrastructure, regardless of cause. This includes but is not limited to database server failures, cloud storage outages, data centre incidents, catastrophic hardware failure, and force majeure events beyond our reasonable control.
24Apple App Store Additional Terms
If you access or download the Services through the Apple App Store, the following additional terms apply alongside the rest of these Legal Terms:
- Acknowledgement. You and ClanIt Ltd acknowledge that these Legal Terms are concluded between you and ClanIt Ltd only, and not with Apple Inc. or its subsidiaries (Apple). ClanIt Ltd, not Apple, is solely responsible for the Services and their content.
- Scope of Licence. The licence granted to you for the Services is a non-transferable licence to use the Services on any Apple-branded products that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
- Maintenance and Support. ClanIt Ltd is solely responsible for providing any maintenance and support services for the Services. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the Services.
- Warranty. ClanIt Ltd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Services fail to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the Services to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Services.
- Product Claims. You and ClanIt Ltd acknowledge that ClanIt Ltd, not Apple, is responsible for addressing any claims by you or any third party relating to the Services or your possession or use of the Services, including product liability claims, any claim that the Services fail to meet any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- Intellectual Property Rights. In the event of any third party claim that the Services or your possession and use of the Services infringe that third party's intellectual property rights, ClanIt Ltd, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
- Legal Compliance. You represent and warrant that you are not located in a country that is subject to a United States Government embargo or designated by the United States Government as a terrorist supporting country, and that you are not listed on any United States Government list of prohibited or restricted parties.
- Third Party Terms. You agree to comply with applicable third party terms of agreement when using the Services.
- Third-Party Beneficiary. You and ClanIt Ltd acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Legal Terms, and that upon your acceptance of these Legal Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce these Legal Terms against you as a third-party beneficiary.
